LOPE CFO placed on administrative leave due to non-employee third-party stock trading investigation; interim CFO appointed.

The CFO of Grand Canyon Education was placed on paid administrative leave effective August 21, 2026, in connection with a governmental investigation involving a non-employee third party's trades in Company stock. The Company stated it is not the focus of the investigation and that the leave is unrelated to financial statements or accounting policies. Lori Browning, Senior Vice President & Controller – Chief Accounting Officer, was appointed interim CFO. This is a governance disruption with limited financial or operational substance, but signals potential insider-trading exposure and creates continuity risk during what is typically a period of higher student enrollment activity in higher education.
